1. Agreement Overview
By using the services ("Services") provided by Soraxus ("we," "us," or "our"), you ("Customer," "you," or "your") acknowledge and agree to comply with these Terms of Service ("Terms"). Your use of the Services also constitutes acceptance of our Acceptable Use Policy (AUP), Privacy Policy, and Service Level Agreement (SLA).
Soraxus is a registered company in British Columbia, Canada, with Company Number BC1495117. These Terms are governed by the laws of British Columbia, and any legal matters will be handled within its jurisdiction.
2. Agreement & Eligibility
By signing up for and using Soraxus services, you confirm your agreement to these Terms of Service, including the Acceptable Use Policy, Privacy Policy, and Service Level Agreement. To be eligible to use our services, you must:
- Be at least 13 years of age.
- Have the legal capacity to enter and modify contracts.
- Not have been previously terminated by Soraxus for policy violations.
3. Definitions
For clarity, the following terms apply in this document:
"Service": The commercial offering provided by Soraxus.
"Suspended": A Service state where it's inaccessible, yet not terminated.
"Terminated": The end of a Service, where data is erased, and the billing agreement is void.
4. Service Availability & Modifications
4.1 Performance Expectations
Soraxus strives to provide reliable services, but we cannot guarantee uninterrupted operation. Customers experiencing service disruptions must report issues via our support portal, and we will make commercially reasonable efforts to resolve them.
4.2 Scheduled & Emergency Maintenance
We may perform maintenance, system upgrades, or emergency repairs that could result in temporary disruptions to service availability. Whenever possible, we will notify you in advance; however, in critical situations, immediate action may be taken without prior notice.
4.3 Service Modifications
To optimize performance, security, and efficiency, we reserve the right to make adjustments to service resources, subnets, IP addresses, and other configurations as necessary.
4.4 Network Peering & Routing
We may adjust peering arrangements, routing, or transit providers at our discretion to improve network performance, security, capacity, or efficiency. These changes may be made without prior notice.
5. Payments & Billing
5.1 Commerce
Soraxus accepts payments via PayPal (operated by PayPal Pte. Ltd.), Stripe (operated by Stripe Inc.), and e-Transfer (Operated by Interac Inc.).
5.2 Pricing Adjustments
Soraxus may update service pricing at any time. Customers will be notified of changes at least 30 days in advance.
5.3 Tax Responsibility
All charges are exclusive of applicable taxes. Customers are responsible for ensuring compliance with tax laws.
5.4 Payment Failures
Failure to pay an invoice on time may result in service suspension twenty four (24) hours after the due date. If an overdue invoice remains unpaid for seven (7) days, services will be permanently terminated.
5.5 Chargebacks & Disputes
If a chargeback is filed, all services associated with the account will be suspended and the client will be contacted. Unresolved disputes may result in permanent termination.
5.6 IP Address Changes
Requests for IP address changes are at Soraxus' discretion and may incur fees.
5.7 No Refunds
All sales are final. Refunds will not be issued under any circumstances.
6. Acceptable Use Policy (AUP)
Soraxus enforces a strict Acceptable Use Policy to ensure network integrity. Prohibited activities include:
Illegal Activities: Violations of Canadian law, including hacking, brute force attacks, phishing, and unauthorized network probing. Port/stealth scanning is also prohibited.
Flooding & Spamming: Sending unsolicited messages, spam emails, API request flooding, or mass messaging is strictly forbidden.
Intellectual Property Violations: Hosting, sharing, or distributing copyrighted material without permission.
Hate Speech & Extremist Content: Any material promoting violence, discrimination, or hate groups.
Child Exploitation: Any involvement in storing, hosting, or distributing child sexual abuse material (CSAM) will lead to immediate termination and legal reporting.
Denial of Service (DoS) & Doxing: Engaging in DoS/DDoS attacks or distributing personal information (doxing) will result in termination.
6.1 Fair Use Policy
Network Bandwidth: Continuous 100% bandwidth consumption is not permitted.
Resource Consumption: Excessive CPU, memory, or disk I/O usage that impacts hardware integrity.
7. Right to Terminate
Soraxus reserves the right to terminate any service at any time, with or without cause, evidence, and without prior notice. We are not required to provide reasoning or justification for any termination. Customers who are terminated will not be refunded.
8. Arbitration
All disputes must be resolved through arbitration in British Columbia, Canada. Customers waive their right to litigation. If you wish to opt out, email [email protected] within 24 hours of registration.

10. Colocation Policies
10.1 Hardware Abandonment
If payment is not made after twenty four (24) hours, the hardware will be powered off and considered Suspended. After seven (7) days, it is deemed Terminated. In the event of termination, we will attempt to contact the customer to arrange for hardware retrieval. If no contact is made within thirty (30) days of termination, the hardware will be considered abandoned. In this case, Soraxus may dispose of the hardware without liability, and the customer will be responsible for any fees relating to the abandonment. These fees may include but are not limited to storage fees, disposal fees, unpaid invoices, and legal fees.
11. Networking Policies
11.1 Right to Refuse Service
Soraxus offers complimentary BGP sessions to customers; however, we reserve the right to deny or discontinue this service at our sole discretion. In cases where service is refused, Soraxus is not obligated to disclose the reasoning behind the decision. Additionally, if a customer's use of BGP sessions or network resources is found to negatively impact network stability, security, or overall service quality, Soraxus reserves the right to suspend or terminate the service without prior notice.
11.2 Networking Disclaimer
Soraxus is not liable for any direct or indirect damages, including but not limited to lost profits, business interruptions, or data loss caused by networking services such as BGP sessions, IP blocks, or ASN management.
12. Copyright
All services provided by Soraxus are subject to the copyright laws of Canada and the hosted location of the service. Any violations of these laws will result in service suspension, termination, or a demand for removal of the infringing content. Soraxus acts solely as a neutral intermediary in disputes and is not liable for any violations reported by third parties.
13. DMCA Compliance
If you believe copyrighted content is hosted on our platform, submit a formal DMCA request in accordance with 17 U.S.C. 512(c)(3)(A). All abuse reports can be sent to [email protected] or filed through the Abuse Department in our client area. Include valid documentation of copyright ownership or representation, as well as any relevant court-ordered DMCA takedown requests when applicable.
14. Right to Refuse Service
Soraxus reserves the right to refuse service to any individual or entity at our discretion. We may also deny service to any customer who has previously violated our Terms of Service, Acceptable Use Policy, or Service Level Agreement. In cases where service is refused, Soraxus is not obligated to disclose the reasoning behind the decision. Additionally, if a customer's use of our services is found to negatively impact network stability, security, or overall service quality, Soraxus reserves the right to suspend or terminate the service without prior notice.
15. Networking Disclaimer
Soraxus is not liable for direct or indirect damages, including business losses, caused by networking services.
16. Alteration of Terms
Soraxus may modify these Terms at any time without prior notice. Customers must review updates periodically.
17. AUP Violations & Enforcement
Soraxus reserves the right to charge fees for AUP violations. Violations may result in immediate suspension or termination.
